Only members can use our upcoming web browser.
Liability shield
Our members are free (and always will be) from any liability, commitment, or obligation that User Cooperative takes on in the conduct of business.
One membership per person
This supports the integrity of our "one member, one vote" governance by preventing someone from concentrating voting power.
Members vote for themselves
No proxies or designees.
Non-transferable
A membership has to stay in the possession of the original member to keep individuals or groups from accumulating voting power or profits.
Free termination, whenever
Our members can terminate their membership at any time and at no charge, but they do forfeit their rights and interest in User Cooperative.
Whole membership agreement
Our Articles of Incorporation, Bylaws, and Terms of Service make up the whole membership agreement.

Membership Features
All profits go to members
"Clicks" include all transactions
When members get dividends
Profits in proportion to clicks
Clicks, taps, types, swipes...
Any service call a member makes.
Background activity
Any automatic transaction that happens between a member's device and us so that we can provide our service.
Basic formula
A member's share of any profit we make is calculated as their browser clicks divided by all members' browser clicks.
Another company buys us
If our members vote to sell us to another company, then each member will receive their share of the selling price in proportion to each member's clicks since the release of our browser. If a sale happens before we release our browser, each member will receive an equal share.
We make an annual profit
Profits that we do not retain or reinvest to grow our business are paid out in cash or in kind to each of our members in proportion to the clicks each member made for that period of time.
Members (democratically) rule.
Examples of member powers
Control how we collect and use data
Control our algorithms
Introduce or amend the terms, policies, and standards that govern use
Hire and fire our key staff
To keep raiders at bay
One member, one vote
Our members democratically govern everything we do through their powers to (1) elect our board of directors, which manages all of our business affairs and (2) propose and vote on any specific matter of business.
Early hostile takeover protection
To protect ourselves against a "hostile takeover" in our earliest stage, when we're most vulnerable, we defer granting voting rights to our members until we reach 10,000 members and $1 million in revenue. Until then, the founder is the sole voting member.
Free membership, natural people only
So that we maximize value for humans.
No expiration date
Membership only expires if a member doesn't use our services for three (3) years.
